These Terms constitute a legally binding agreement between you (or the business entity you represent) and Sourced Distribution. Use of the Services is limited to businesses and professionals operating in a commercial capacity. The Services are not intended for individual consumers.

The Services are available exclusively to registered businesses, trade buyers, importers, distributors, retailers, and other commercial entities. By using the platform, you represent that you are at least 18 years of age, acting on behalf of a lawfully registered business, and have the authority to bind that business to these Terms.

You agree not to use the Services for any unlawful purpose, to misrepresent your identity or business, to interfere with the operation of the platform, or to attempt to gain unauthorised access to any part of the platform or its underlying systems.

Sourced Distribution reserves the right to suspend or terminate access to the Services at any time, without prior notice, for conduct that it determines violates these Terms or is otherwise harmful to other users, the company, or third parties.

Product listings, specifications, and pricing information presented on the platform are provided for informational purposes only and do not constitute a binding offer. All product inquiries submitted through the platform initiate a sourcing consultation process, not a confirmed purchase order.

Final pricing, lead times, minimum order quantities, and delivery terms are agreed upon separately between the buyer and Sourced Distribution following a formal quotation. Sourced Distribution reserves the right to decline any inquiry or order at its sole discretion.

Once a purchase order is formally confirmed in writing, the specific terms contained within that order confirmation, including payment terms, delivery schedule, and product specifications, shall govern that transaction.

Participation in Sourced Distribution's OEM programs and custom sourcing services is subject to additional agreements that will be provided at the time of engagement. These may include non-disclosure agreements, exclusivity terms, tooling ownership clauses, and minimum volume commitments.

Intellectual property developed through OEM engagements, including custom formulations, packaging designs, and branding assets, shall be governed exclusively by the terms of the applicable OEM agreement. Nothing in these Terms grants you ownership of any intellectual property belonging to Sourced Distribution or its supplier partners.

Samples provided during the OEM development process remain the property of Sourced Distribution until full production payment is received, unless otherwise agreed in writing.

All prices quoted are exclusive of applicable taxes, customs duties, freight charges, and insurance unless expressly stated otherwise. Currency and Incoterms for each transaction will be specified in the relevant purchase order or quotation.

Payment terms are established on a per-transaction basis and must be adhered to as agreed. Sourced Distribution reserves the right to charge interest on overdue amounts and to suspend further services until outstanding balances are settled.

Sourced Distribution shall not be liable for any currency fluctuations, tariff changes, or additional costs arising from changes in trade regulations after a quotation has been issued but before delivery is completed.

All content on the Sourced Distribution platform, including but not limited to text, images, product listings, graphics, logos, and software, is the property of Sourced Distribution or its licensors and is protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use the platform solely for the purpose of conducting legitimate business inquiries. You may not copy, reproduce, distribute, modify, or create derivative works from any platform content without prior written consent from Sourced Distribution.

The Services are provided on an "as is" and "as available" basis. Sourced Distribution makes no warranties, express or implied, regarding the accuracy, completeness, or fitness for purpose of any information presented on the platform.

To the maximum extent permitted by applicable law, Sourced Distribution shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to your use of the Services, even if advised of the possibility of such damages.

In no event shall Sourced Distribution's total liability for any claim arising under or in connection with these Terms exceed the total fees paid by you to Sourced Distribution in the three months preceding the event giving rise to the claim.

These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction in which Sourced Distribution is registered, without regard to conflict of law provisions.

Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached within thirty (30) days, either party may escalate the matter to binding arbitration or the courts of competent jurisdiction.

Sourced Distribution reserves the right to update or modify these Terms at any time. We will notify users of material changes by updating the "Last Updated" date at the top of this page. Continued use of the Services following any changes constitutes your acceptance of the revised Terms.
